Terms + Conditions

These Terms and Conditions ("Terms") govern the use of services provided by Studio Brain ("Company", "we", "us", or "our"). By engaging our services, you ("Client", "you", or "your") agree to be bound by these Terms.

1. Scope of Work

Studio Brain agrees to provide creative services including but not limited to brand identity design, illustration, art direction, and visual strategy, as outlined in an agreed-upon proposal or scope of work.

2. Payment Terms

Payment terms will be defined in the project proposal or invoice. Unless otherwise stated:

  • A non-refundable deposit (typically 50%) is due before work begins.

  • The remaining balance is due upon project completion, before final files are delivered.

  • Late payments may incur a fee of 1.5% per month or the maximum permitted by law.

3. Revisions

Projects include a reasonable number of revisions, typically stated in the proposal. Additional revisions may be billed at our hourly rate.

4. Client Responsibilities

You agree to provide all necessary content, feedback, and approvals in a timely manner. Delays in providing required materials or feedback may result in a revised timeline.

5. Intellectual Property

Upon final payment, Studio Brain grants the Client rights to use the final approved deliverables. We retain the right to display all work for portfolio and promotional purposes. Raw files (e.g., layered PSD, AI files) are not included unless explicitly agreed upon.

6. Cancellations and Termination

Either party may terminate the agreement in writing. If terminated by the Client, all work completed to date will be invoiced, and the deposit will not be refunded. If terminated by Studio Brain for cause (e.g., non-payment, breach of agreement), all rights to unfinished or unpaid work remain with Studio Brain.

7. Confidentiality

We agree to keep confidential any non-public information shared during the project. Likewise, the Client agrees not to disclose proprietary methods or materials provided by Studio Brain.

8. Limitation of Liability

Studio Brain shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use our services. Our total liability is limited to the amount paid by the Client for the specific project.

9. Governing Law

These Terms shall be governed and interpreted in accordance with the laws of the state in which Studio Brain is registered.

10. Amendments

We reserve the right to update or modify these Terms at any time. Continued engagement with Studio Brain constitutes acceptance of the revised terms.
